SMALL BUSINESS GRANT PROGRAM: TERMS AND CONDITIONS
(THE “PROGRAM TERMS AND CONDITIONS”)
The Call For Small (the “Program”) is a $20,000 CAD grant fund program coordinated by Moneris Solutions Corporation (“Moneris”) and administered by Moneris®. The Program is designed to provide financial support to existing Canadian entrepreneurs and small business owners. There will be a total of two (2) recipient who will receive up to a maximum of $10,000 CAD (a “Grant”).
1. APPLICATION PERIOD
The Program application period begins October 5, 2023 at 12:01 am EST and ends October 31, 2023 at 11:59 pm EST (the “Application Period”).
2. ELIGIBILITY
To be eligible to receive a Grant under the Program, you must submit an application during the Application Period, satisfy all of the following criteria, and comply with all other terms and conditions set out herein:
- you are a resident of Canada (excluding the Province of Québec);
- you are at least the legal of age of majority in your province or territory of residence;
- you are an existing owner of a business in Canada, and such business has been in operation for at least one (1) year;
- you must not be currently participating in a merchant program for franchisees, trade associations, member associations or other buying groups; and
- you must not have processed an aggregate Visa® and Mastercard® transaction volume of $2,500,000 CAD or greater in the preceding three (3) months.
By submitting an application to the Program and providing an email address, you grant Moneris express permission to send you emails related to the Grant, including notification of selection for a Grant.
3. HOW TO SUBMIT AN APPLICATION
Please complete the online application available at https://go.moneris.com/Call-For-Small during the Application Period. You will be asked to provide information that includes, among other things:
- contact information, including first name, last name, province and email address;
- proof of your business status, including business name, address, registration, website, Google My Business profile and social media accounts;
- a high-level overview of your business and the products or services you offer.;
- the top three (3) challenges your business is currently facing or likely to face as it grows; and
- a brief summary of how your business will use the Grant to address any of the challenges outlined above.
Applications must include all required information in order to be considered for the Grant. Incomplete applications will not be processed. Each business is only permitted to submit one (1) application under the Program. Once received by Moneris, all applications will be at all times the property of Moneris and will not be returned to you. In addition to the information set out above, Moneris may at any time request, and you must provide, proof of you or your business’ identity and related qualifications under the Program.
4. EVALUATION CRITERIA
Applicants that meet the eligibility criteria noted above will not automatically be selected for the Grant. The evaluation process involves a selection committee composed of representatives for Moneris who will confidentially review all applications based on the specific evaluation criteria noted below and in its sole discretion will select the recipient of the Grant (the “Successful Applicant”). Priority consideration will be given to applicants who identify as a visible minority or Indigenous. All decisions of the selection committee are final.
The specific evaluation criteria include:
- the quality and detail of the responses submitted by each applicant (including, among other things, information regarding how the Grant will be used by each applicant); and
- the extent to which an application addresses at least one (1) of the following guiding principles
- Community: how well the business benefits its local community, with consideration given to whether this community is currently underserved and how the business integrates itself within such community;
- Impact: the type and extent of business impact, including job creation, economic stimulus, improving quality of life, or supporting a specific cause or social issue.
5. SELECTION OF SUCCESSFUL APPLICANT AND AWARDING OF GRANT
The Successful Applicant will be notified by email no later than November 30, 2023. The Grant will be provided to the Successful Applicant using the payment method agreed upon between the Successful Applicant and Moneris. The Grant will be provided as soon as reasonably possible following notification of success. As a condition of accepting the Grant, the Successful Applicant acknowledges that Moneris may require them to sign a release and agree (without further notice or compensation) to the use of their name, business information, and other application information in any publicity or advertisement about the Program issued by Moneris in Moneris’ discretion.
6. OWNERSHIP RIGHTS
6.1 Ownership of Intellectual Property
Unless otherwise expressly set out in these Program Terms and Conditions, Moneris shall solely and exclusively own all right, title and interest in and to any and all Intellectual Property (as defined below) created or developed by Moneris or any of its subcontractors or creative agencies (if applicable) in connection with the Program from their creation, including all improvements, modifications, updates, upgrades or enhancements to the Intellectual Property (“Intellectual Property” means all intellectual and industrial property relating to the Program and a party’s products and services, including: (i) any and all patents and applications; (ii) any and all inventions (whether patentable or not), invention disclosures, improvements, trade secrets, design, programming architecture, notes, plans, drawings, data, modules, tools, methodologies, analysis, specifications, reports, manuals, interfaces, processes, technology, technical data, schematics and customer lists, and all documentation relating to any of the foregoing; (iii) any and all designs, including industrial designs and applications thereof; (iv) any and all copyrights, copyrights registrations and applications thereof, and all other rights corresponding thereto; (v) any and all trade names, corporate names, logos, trade dress, common law trademarks, trademark registrations and applications; and (vi) any and all computer programs, applications or software whether in source, object or executable code including documentation and other materials or documents related thereto).
6.2 Preservation of Parties’ Rights
No party hereto transfers to the other party any Intellectual Property or other property under the Program Terms and Conditions. For greater certainty, each party hereto is free to use in its business any skills, experience, ideas, concepts, know-how or techniques that it acquires in participating in the Program, so long as in doing so that party does not infringe the other party’s ownership rights or breach its obligations for Confidential Information (as defined below) (“Confidential Information” means non-public, confidential or proprietary information disclosed by one party (a “Disclosing Party”) to another party (a “Receiving Party”) that the Receiving Party accesses, receives, creates, processes or stores in connection with the Program or otherwise, including the Disclosing Party’s financial information and information about Disclosing Party’s customers, marketing strategies and technology. Confidential Information for a party does not include information that was in the possession of the Receiving Party without an obligation of confidentiality at the time of disclosure, information lawfully in the public domain, information the Receiving Party independently develops, or information the Receiving Party lawfully gets from another source).
7. GENERAL PROVISIONS
By submitting an application, you expressly consent to Moneris and its agents and/or representatives storing, sharing and using the personal information submitted with your application only for the purpose of adjudicating and administering the Program and in accordance with the Moneris Privacy Notice (available at: https://www.moneris.com/Legal/Privacy-Notice). If you have also consented to the use of your personal information by Moneris for marketing and promotional purposes, you agree that Moneris may send you offers, promotions and information about its products and services. You may withdraw this consent at any time.
By submitting an application, you agree that all information provided in connection with your application is true, accurate and complete, and you agree to be bound by these terms and by the decisions of Moneris and its selection committee in connection with the Program, which are final and binding in all respects. Moneris has the absolute discretion to determine eligibility of any applicant under this Program and any payment due under this Program.
As a condition of application, Moneris reserves the right to conduct a background check on the potential Successful Applicant and the right in its sole discretion to disqualify any applicant based on such background check if in its sole discretion it determines that awarding the Grant to such potential Successful Applicant might reflect negatively on the image or reputation of Moneris.
By submitting an application pursuant to the Program, you hereby waive and release Moneris and each of its respective affiliates, officers, directors, agents, representatives, successors and assigns from any and all liability, claims, losses or damages, whether direct, indirect, incidental, consequential or punitive, and regardless of whether the claim or action is based in contract, tort (including negligence), or any other legal or equitable grounds, that may arise in connection with the Program, your submission of an application, your participation in the Program, and/or the granting and use/misuse of all or any portion of the Grant.
Recipients of the Grant are solely responsible for all federal, provincial, and local taxes, if any, that may be incurred by accepting the Grant. It is the responsibility of the recipient to seek advice on how the Grant should be treated from a tax reporting perspective. Moneris does not offer tax advice and encourages all Grant recipients to consult with their personal tax advisors regarding the tax implications of receiving the Grant.
Moneris reserves the right to suspend, amend or cancel the Program, any part of the Program Terms and Conditions, or any applicant’s participation in the Program at any time, without prior notice.
Applicants who violate these terms or engage in any conduct that is detrimental to Moneris or its affiliates, the Program or another applicant (determined by Moneris in its sole discretion) may be disqualified at any time.
Moneris will not be responsible for applications that are lost, misdirected or delayed. Moneris does not assume any responsibility for incorrect or inaccurate capture of application information, technical malfunctions, human or other technical error.
In the event of any discrepancy or inconsistency between the Program Terms and Conditions and any disclosures or other statements contained in any Program-related materials (including, but not limited to, the application form, the Program website, the French version of the Program Terms and Conditions, and/or any other advertising in connection with the Program) the provisions of the English version of the Program Terms and Conditions shall prevail, govern and control to the fullest extent permitted by law.
This Program shall be governed by and interpreted and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, and is void in all geographic locations where prohibited by law. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Toronto, Ontario in any action to enforce (or otherwise relating to) these Program Terms and Conditions or otherwise relating to the Program.
